I need to tell you something that will be uncomfortable if you’re the person who drafted your organization’s AI ethics policy. Or the executive who approved it. Or the compliance officer who filed it.
Your AI ethics policy is almost certainly theater.
I don’t say that to be provocative for its own sake. I say it because I’ve spent over two decades building and operating the IT infrastructure and security systems that AI is now transforming. I’ve watched this pattern unfold at dozens of organizations, and it plays out the same way almost every time.
Company adopts AI tools. Someone in legal or compliance gets asked to “put together a policy.” They spend a few weeks assembling something that sounds responsible. Leadership signs off in a meeting where the policy is agenda item number seven of nine. The PDF gets uploaded to SharePoint. Everyone goes back to doing exactly what they were doing before.
Nobody reads it. Nobody enforces it. Nobody even knows what “ethical AI” means operationally in their specific role. The document exists to check a box that nobody actually verified needed checking.
That’s ethics theater. And it’s about to become a serious problem.
The Anatomy of Ethics Theater
Ethics theater follows a recognizable pattern, and once you see it, you can’t unsee it. Here are the hallmarks.
The Aspirational Document
The policy reads like a mission statement, not an operating procedure. It’s full of language like “we are committed to fairness” and “we value transparency in AI systems.” These are sentiments, not controls. Try auditing a sentiment. Try proving to a regulator that you “value transparency.” You can’t, because there’s nothing to measure, nothing to document, and nothing to enforce.
A real governance framework doesn’t talk about what you value. It defines what you do. It specifies who reviews AI-driven decisions, how often models are evaluated for bias, what happens when an AI system produces an outcome that harms a customer or employee, and who is accountable when things go wrong.
The Orphaned Policy
Ethics theater lives on an island. The AI ethics policy sits in the compliance folder, completely disconnected from procurement, vendor management, incident response, HR, and operations. The team evaluating a new AI-powered SaaS tool has never seen it. The SOC analysts using AI-driven threat detection don’t know it exists. The HR team using AI to screen resumes has no idea there are supposed to be guidelines.
Real governance is embedded in workflows. It shows up in procurement checklists, vendor evaluation scorecards, change management processes, and incident response runbooks. If your AI ethics program doesn’t touch the daily work of the people actually using AI, it isn’t a program. It’s a document.
The Missing Feedback Loop
Here’s a test I use: ask your organization when the AI ethics policy was last updated based on an actual incident or finding. Not a scheduled annual review where someone confirms “yep, still looks good.” An update triggered by something that happened in production.
If the answer is never, you’re watching theater. Real governance generates data. It surfaces issues. It evolves. A policy that has never changed in response to operational reality is a policy that isn’t connected to operational reality.
The Accountability Vacuum
Who in your organization is accountable — not “responsible,” accountable — for AI ethics outcomes? Not “the committee.” Not “leadership.” A named individual who owns the results and faces consequences if governance fails.
In ethics theater, accountability is distributed so broadly that it disappears. Everyone is responsible, which means nobody is. Real governance has a name attached to it, a budget behind it, and authority to stop deployments that don’t meet standards.
Why This Matters Now More Than Ever
You might be thinking: “We’ve had compliance theater in other domains for years and survived.” That’s true. But AI governance theater is uniquely dangerous for three reasons.
Regulators Are Done Accepting PDFs
The EU AI Act isn’t asking whether you have a policy. It’s asking for evidence of operational controls. Risk assessments tied to specific AI systems. Documentation of human oversight mechanisms. Records of bias testing and model evaluation. Incident logs and remediation evidence.
Article 9 requires risk management systems that are “a continuous iterative process planned and run throughout the entire lifecycle of a high-risk AI system.” Article 14 mandates human oversight measures that are “appropriate to the circumstances.” Article 13 requires transparency measures that allow users to “interpret the system’s output and use it appropriately.”
None of this can be satisfied by a PDF on SharePoint. Regulators want evidence of ongoing, operational governance. And the penalties — up to 35 million euros or 7% of global annual turnover — suggest they are serious about getting it.
Even if you’re not directly subject to the EU AI Act today, its influence is shaping regulatory expectations globally. State-level AI legislation in the US is accelerating. Your industry regulators are updating guidance. The PDF-as-governance era is ending.
AI Failures Scale Differently
When a traditional IT system fails, the blast radius is often contained. A server goes down, a database corrupts, a process breaks. You fix it. But when an AI system embedded in operational decision-making produces biased, inaccurate, or harmful outputs, it can affect thousands of decisions before anyone notices. A biased hiring algorithm doesn’t make one bad decision. It makes hundreds. An AI-driven credit scoring model with a systematic error doesn’t affect one application. It affects every application processed during the period the error existed.
The scale and speed of AI-driven harm makes governance-by-document fundamentally inadequate. You need monitoring, alerting, and intervention capabilities — the same operational rigor you’d apply to any critical system.
Trust Is the New Competitive Advantage
Your customers, employees, and partners are becoming AI-literate. They’re asking questions they didn’t ask two years ago. How does your AI make decisions about me? What data does it use? Can a human review this outcome? Organizations that can answer these questions credibly — with evidence, not platitudes — will win trust. Organizations that point to a dusty PDF will not.
What Real AI Governance Looks Like
I’ve helped organizations move from ethics theater to operational governance. The difference is stark, and it’s fundamentally about embedding governance into the way work actually gets done.
Embedded in Procurement
Every AI tool acquisition — whether a new platform, a SaaS feature update that introduces AI, or an internal development project — goes through a standardized AI risk assessment. This isn’t a checkbox form. It’s a substantive evaluation covering data practices, model transparency, bias testing, human override capabilities, and vendor accountability. The procurement team is trained to conduct it. It has the authority to block purchases that don’t pass.
Embedded in Operations
SOC analysts using AI-powered threat detection tools know what the AI does and doesn’t do well. They understand the false positive rates, know when to override automated classifications, and document instances where AI recommendations were overridden and why. This data feeds back into model evaluation and vendor conversations.
Embedded in Incident Response
The incident response plan includes AI-specific scenarios. What happens when an AI system produces a discriminatory outcome? When a model’s accuracy degrades? When automated decision-making causes customer harm? There are defined escalation paths, communication templates, and remediation procedures — the same operational maturity you’d expect for a security incident.
Embedded in People’s Daily Work
The customer service representative using an AI-powered tool to draft responses knows what the guardrails are. The HR team using AI in recruiting understands what the model can and can’t evaluate and where human judgment is required. The finance team using AI-driven forecasting knows how to validate outputs. This isn’t about making everyone an AI ethics expert. It’s about making governance part of the workflow rather than a separate document nobody references.
Governed by Data
Real governance produces metrics. How many AI-related incidents occurred this quarter? What was the distribution of model confidence scores? How often did human operators override AI recommendations? What did bias audits reveal? These metrics drive continuous improvement, inform leadership decisions, and provide the evidence trail that regulators and auditors expect.
The Five-Step Theater Test
If you want to know whether your AI ethics program is real or theater, here are five questions that will give you a clear answer in about ten minutes.
1. Can three random employees describe what AI ethics means for their specific role?
Not the policy statement. Not the company values. Their specific responsibilities and procedures when working with AI tools. If they can’t, governance hasn’t reached the operational level.
2. Has the policy changed in response to a real incident or finding in the last 12 months?
A living governance program evolves. A theater program stays static. If the last update was “annual review — no changes,” that’s a red flag.
3. Can you produce evidence of AI risk assessments for every AI tool in your environment?
Not just the flagship projects. The AI features quietly embedded in your CRM, your email security, your HR platform, your customer analytics. If you can’t inventory your AI exposure, you can’t govern it.
4. Is there a named individual with budget and authority accountable for AI governance outcomes?
Not a committee. Not a shared responsibility. A person whose performance is measured in part by AI governance effectiveness and who has the power to stop non-compliant deployments.
5. Could you demonstrate your AI governance to a regulator or auditor tomorrow with operational evidence — not just a policy document?
If the answer is yes, you have a real program. If the answer is “we’d need some time to pull things together,” you have theater with potential. If the answer is “we’d need to figure out what to show them,” you have theater.
Moving From Theater to Governance
Failing the theater test isn’t a moral failing. Most organizations are there. The AI adoption curve has massively outpaced governance maturity, and that gap is nobody’s specific fault. But it is now everybody’s specific problem.
The path from theater to governance isn’t about writing a better policy document. It’s about building operational capability: risk assessment processes, monitoring systems, training programs, accountability structures, and feedback loops. It requires the same kind of operational discipline that competent organizations apply to cybersecurity, financial controls, and regulatory compliance.
The good news is that organizations with mature operational frameworks — particularly those with strong security operations and compliance programs — already have most of the foundational capabilities. AI governance isn’t a net-new discipline. It’s an extension of operational risk management into a new domain.
The bad news is that the window for getting this right proactively is closing. Regulators are moving. AI adoption is accelerating. The gap between what organizations claim about their AI governance and what they can actually demonstrate is growing. And when that gap gets exposed — by an incident, an audit, or a lawsuit — “we have a policy” is not going to be an adequate response.
